General Terms and Conditions for Sing In Chinese Services and Materials

By submitting a purchase order, making payment, accepting delivery, accessing Sing In Chinese services, using the Sing In Chinese app, curriculum, songs, lesson plans, teaching materials, assessments, website, or any other Sing In Chinese materials, the customer, school, district, organization, vendor, or user agrees to these General Terms and Conditions.

All Sing In Chinese materials, including but not limited to songs, lyrics, recordings, curriculum, lesson plans, flash cards, illustration cards, assessments, app content, website content, teacher materials, student materials, and related resources, are the intellectual property of Sing In Chinese LLC. No ownership rights are transferred by purchase, payment, delivery, or access.

Unless otherwise agreed in a separate written agreement signed by Sing In Chinese LLC, all Sing In Chinese materials are provided only for the customer’s internal educational use. Materials may not be copied, modified, reproduced, distributed, shared, sublicensed, sold, uploaded, posted publicly, used to create derivative works, or made available to any third party without prior written permission from Sing In Chinese LLC.

Customers and users must take reasonable steps to protect Sing In Chinese materials from unauthorized access, sharing, copying, or misuse. Any confidential, proprietary, or non-public materials provided by Sing In Chinese must be kept confidential and used only for the approved educational purpose.

Sing In Chinese materials and services are provided “as is.” Sing In Chinese LLC does not guarantee any specific academic, language-learning, developmental, or business outcome. To the fullest extent permitted by law, Sing In Chinese LLC is not liable for indirect, incidental, special, consequential, or punitive damages arising from the use of its materials or services.

If a purchase order, estimate, invoice, or other customer document contains terms that conflict with these General Terms and Conditions, these General Terms and Conditions will control unless Sing In Chinese LLC expressly agrees to the conflicting terms in a separate written agreement signed by an authorized representative of Sing In Chinese LLC.

The ownership, intellectual property, confidentiality, non-transferability, limitation of liability, payment obligations, and dispute resolution provisions of these General Terms and Conditions survive the completion, expiration, cancellation, or termination of any services, estimate, invoice, purchase order, or customer relationship.
